| Ed Samane: President |

Ed Samane, a career martial artist, national speaker and consultant to the Martial Arts industry, is President and founder of PRO
MARTIAL ARTS Franchise Corporation. With extensive experience in sales, marketing and customer service management for membership-based
billing and consulting businesses, including Fitness Funding Corporation and Member Solutions, Ed Samane has dedicated his life to
inspiring, educating and mentoring both business owners and his beloved students.
Mr. Samane holds a BBA in Marketing and currently owns six successful karate schools in the Philadelphia metropolitan area. He has
earned a 7th Degree black belt in Tang Soo Do and an 8th degree black belt in Sin Moo Hapkido, and is internationally certified as a
grand master instructor.

J. Stuart Barnes: Director of Operations & Compliance |

Mr. Barnes has an extensive background in marketing, strategic planning and finance. He attended Principia College and Bucknell
University, graduating in 1988 with a BA in Economics and Political Science. Upon graduation, he accepted a job with The Vanguard
Group, the nations second largest mutual fund family. During his initial four years with Vanguard he worked in mutual fund accounting
and institutional 401(k) client relations. He left Vanguard in 1993 to pursue his master's degree at The Kellogg School at Northwestern
University. He graduated in 1995 with an MBA with concentrations in marketing, finance and strategic management. In 1995 he accepted
a position in the Strategic Planning and New Market Development Department of Transamerica Global Distribution Finance. During his
two years with Transamerica, Mr. Barnes was responsible for developing new products for existing markets and developing products and
entry strategies for new markets.
In 1997 he left Transamerica and returned to The Vanguard Group, joining their New Fund Development Group. During his two years in New
Fund Development, he was responsible for identifying new fund opportunities, based on market liquidity and investor demand, and bringing
the new funds to market.
Mr. Barnes left Vanguard in 2000 and embarked on an entirely different career. In 2001 he opened a karate school with Grandmaster
Samane, with whom he had been studying for several years. Mr. Barnes now owns two karate schools and holds the rank of Master in
both Tang Soo Do (4th degree) and Hapkido (6th degree). He also served as Technical Director for Master Samane's Karate.

Paul J. Fasbinder, Sr.: Director of Marketing |

Mr. Fasbinder has an extensive background in management, computer science and finance. He attended St. Joseph's University from 1981-1988
while working at the Philadelphia Savings Fund Society (PSFS). During his years with PSFS he held a variety of positions including Bank
Teller, Branch Manager and Systems Analyst. He left PSFS in 1988 to pursue a career consulting in Information Technology. During his
twelve years as a consultant, he worked for a diverse group of companies including Conrail, SmithKline Beecham Clinical Labs, Prudential
Insurance and the Vanguard Group. Mr. Fasbinder was responsible for the analysis, design, construction and implementation of several
business systems.
In 2000 he left consulting and accepted a full time position with The Vanguard Group, joining their Institutional Information Technology
division. During his career at Vanguard he has worked with many different technologies to develop and enhance their financial
applications.
In 1998 he opened a karate school with Grandmaster Samane, with whom he had been studying for several years. Mr. Fasbinder now owns
two karate schools and holds the rank of Master in both Tang Soo Do (4th degree) and Hapkido (6th degree). He also served as Testing
Director for Master Samane's Karate.

Howard L. Soloway: Director of Finance, CLU, ChFC, MSFS |

Mr. Soloway is an Executive Vice President of the Delaware Valley Financial Group. He has been a financial consultant for over twenty
years. His areas of expertise include investments, insurance, accounting and finance.
Prior to becoming a financial advisor, Mr. Soloway held various positions including Financial Advisor/Agent for Mutual of New
York, Vice President of Operations for United Health Clubs and Vice President of Operations for Continental Bank of Colorado.
Mr. Soloway is past president of the Greater Philadelphia Chapter of the Society of Financial Service Professionals and a member of
the National Association of Insurance and Financial Advisors and the Philadelphia Estate Planning Council.
Mr. Soloway is responsible for overseeing all accounting and reporting functions at PRO MARTIAL ARTS Franchise Corporation.

Robert J. Bush, Esquire: General Counsel |

Mr. Bush has been a practicing attorney for over 20 years and handles all corporate legal issues for PRO MARTIAL ARTS. He has been
training in the martial arts for 37 years and currently holds a 4th Degree Masters Belt in Tang Soo Do.
Mr. Bush was formally a U.S. Army officer and served most of his time in the army stationed at the Pentagon. He is a graduate of
LaSalle University in Philadelphia, where he graduated with a degree in Political Science and was a running back on the LaSalle
football team. He is also a graduate of Widener University School of Law.

Master Bejar Fazliu: Trainer |

Master Fazliu is a Certified Instructor at PRO MARTIAL ARTS. He holds the ranks of 5th Dan in Shotokan and 4th Dan in Tang Soo Do. Master
Fazliu has a wealth of international experience having taught Karate and Self Defense to the Kosova Protection Corps. He currently holds
the positions of Technical Director of the Kosova Traditional Karate Federation and Technical Advisor to the Albanian Karate
Federation.

Master Rosemary Keen: Trainer |

Master Keen is a Certified Instructor at PRO MARTIAL ARTS. She holds the rank of 4th Dan in Tang Soo Do. Master Keen previously held
the position of Chief Instructor at David Fuller Karate in West Chester, Pa.

Charles Dobyns - Director of Franchise Development |

Charles Dobyns serves as Director of Franchise Development for Pro Martial Arts and currently is a Practice Leader, Business Services with Franchise Dynamics, LLC, and the leading franchise development company, worldwide. He is an experienced franchise executive and has been a large, successful multi-unit franchisee. During his franchise development career, he has been involved in the sale of nearly 1,000 franchise units. Prior to joining Franchise Dynamics LLC, he was the Vice President of Franchise Development with Fast Wrap USA, LLC, where he built the franchise development and training programs. His previous experience includes the position of Vice President of Franchise Development with Line-X® Franchise Development Corporation, where he was instrumental in helping the company become the 51st largest franchisor in the United States, as ranked by Entrepreneur Magazine®; he also held the positions of Director of Franchise Development with Ziebart® International and Director of Sales, North America with Rhino Linings USA. Mr. Dobyns is an experienced franchisee, holding the position of President and Managing General Partner of Dormans Tire, Inc. and Tri Valley Tire, Inc., a 31 location Goodyear Tire franchisee in San Diego for 10 years, from 1990 to 2000.

Andrew Lawrie - Development Associate |

Andrew Lawrie is a Development Associate for Pro Martial Arts and is also with Franchise Dynamics. Andrew's family has been involved with Franchising since 1950 when his family founded Dunkin' Donuts®. Andrew is a recent graduate from Drexel University with a degree in Business Administration and a concentration of Entrepreneurship. He had previously interned at Rita's Franchise Company (Rita's Water Ice™) and works in support of Pro Martial Arts and the Franchise Dynamics, LLC Business Services practice.
